1. Service and operator
Uselist (the "Service") is operated by Roman Usov, a sole proprietorship (enskild firma) registered in Sweden. We are a foreign (non-Ukrainian) provider supplying a digital service to users in Ukraine and elsewhere. Contact for legal and support matters: [email protected].
The Service is a hosted inventory and listing tool: it stores items you describe to it and helps you generate listings for second-hand marketplaces. Marketplaces themselves (OLX, Vinted, Facebook, etc.) are independent third parties; their terms apply when you publish to them.
2. Billing and subscriptions
Paid plans are billed in EUR via Stripe. We do not currently charge Ukrainian Value Added Tax (PDV) on subscriptions because our supplies to Ukrainian consumers remain below the UAH 1,000,000/year non-resident threshold under Law No. 1525-IX. If we cross that threshold we will register as a non-resident PDV taxpayer and adjust pricing accordingly with at least 30 days' notice.
Auto-renewal. Monthly and annual subscriptions renew automatically at the end of each billing period at the then-current price. We do not send a reminder before renewal. You can cancel any time from the dashboard or by contacting support; cancellation takes effect at the end of the current paid period.
Price changes. If we change the price of an existing plan, we will notify affected subscribers by email or in-app at least 30 days before the change takes effect. Continued use after the effective date is acceptance.
3. Refund and withdrawal posture
Ukrainian consumer-protection law (Law No. 1023-XII "On Protection of Consumer Rights") does not establish a general statutory right of withdrawal for digital services equivalent to the EU's 14-day cooling-off period. As a goodwill matter, we voluntarily extend a 14-day refund window for any subscription you have not yet used: contact [email protected] within 14 days of purchase to request a refund of the unused billing period.
4. Country legal framework (UA)
- Governing law: these Terms are governed by Swedish law (the operator's residency). Ukrainian mandatory consumer-protection rules continue to apply to consumers domiciled in Ukraine and override conflicting clauses to the extent required by law.
- Applicable Ukrainian statutes: Law No. 1023-XII (Consumer Protection), Law No. 675-VIII (E-Commerce), Law No. 2297-VI (Personal Data Protection), Law No. 1525-IX (Non-Resident Digital Services Tax).
- Competent court: Stockholm tingsrätt for general matters; Ukrainian courts retain jurisdiction over consumer disputes brought by Ukrainian consumers.
- Supervisory authorities: Verkhovna Rada Commissioner for Human Rights (Ombudsman, Department of Personal Data Protection) for data matters — ombudsman.gov.ua; State Service of Ukraine on Food Safety and Consumer Protection (Держпродспоживслужба) for consumer matters.
5. Acceptable use
- One account per person. Don't share credentials.
- Don't upload content you don't have the right to use (third-party photos, copyrighted product images you didn't take, illegal items).
- Don't use the Service to generate misleading, fraudulent, or unlawful listings.
- Don't attempt to bypass rate limits, abuse referral mechanics, or scrape other users' data.
- We may suspend or terminate accounts that violate these rules; serious violations may be reported to the relevant marketplace and to law enforcement.
6. Data protection
Personal data handling complies with both Ukrainian Law No. 2297-VI ("On Protection of Personal Data") and the EU General Data Protection Regulation (Regulation (EU) 2016/679). Where the two regimes diverge we apply the higher floor of protection. 7. Sub-processors
Core sub-processors are listed in our Privacy Policy. We use Stripe (payments), Telegram (bot platform and login), Google (AI inference for listings), Cloudflare (CDN, security), PostHog (product analytics, EU-hosted), and a EU-region cloud host. Most processors are EU-based, which Ukraine recognises as providing adequate data protection.
8. Marketplace integrations
Where you connect a marketplace account via OAuth, you authorise Uselist to act on your behalf within the scope you grant. We never store marketplace passwords; we hold short-lived OAuth tokens which you can revoke at any time from the marketplace's own settings or via the bot's /disconnect command.
Listings published to marketplaces are governed by that marketplace's terms. We are not responsible for marketplace decisions to remove, suspend, or restrict your listings.
9. Free plan and beta features
Features available without payment ("Free plan") and any features explicitly marked "beta", "preview", or "experimental" are provided "as is" and "as available", without warranties of any kind. We may modify, limit, suspend, or discontinue these features at any time, with or without notice. Paid plans are subject to the modification-notice provisions in section 2 (Billing and subscriptions). Continued use after changes constitutes acceptance.
10. Force majeure
We are not liable for failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of war, hostilities, infrastructure attacks, sanctions, or government action. Service availability for users in active combat zones may be degraded; we will use reasonable efforts to maintain continuity but cannot guarantee uninterrupted access during such events.
11. Liability
Nothing in these Terms limits liability for fraud, intentional misconduct, gross negligence, or any liability that cannot be excluded under applicable law. For breach of essential contractual obligations — those whose fulfilment is necessary for the proper performance of these Terms and on whose observance you may regularly rely — our liability is limited to damages that are typical and reasonably foreseeable at the time the contract was concluded. Subject to those carve-outs, our aggregate liability for ordinary negligence in respect of non-essential obligations arising out of or in connection with the Service in any 12-month period is limited to the greater of (a) the fees you paid us in that period or (b) EUR 100.
12. Termination
You may delete your account at any time via the bot's /deleteaccount command. We may terminate or suspend accounts in serious or repeated breach of these Terms; we'll give reasonable notice where the breach is curable. Upon termination, paid plans stop renewing.
13. Changes to these Terms
We may update these Terms to reflect product, legal, or regulatory changes. Material changes will be notified by email or in-app at least 30 days before the effective date. Continued use after the effective date is acceptance.
